CallOrbit Terms of Service

These Terms of Service govern access to and use of CallOrbit websites, number purchasing flows, hosted PBX, cloud PBX, virtual PBX, SIP trunking, business phone system, call center software, business SMS, WhatsApp business calling, browser phone, softphone, AI phone system, telecom API, programmable voice, and related services.

1. Agreement

These Terms form a binding agreement between CallOrbit and the person or organization that accesses or uses CallOrbit. If you use CallOrbit on behalf of a company, you represent that you have authority to bind that company. If you do not agree to these Terms, do not use the service.

A separate written order form, enterprise agreement, DPA, product schedule, or carrier requirement may add to or modify these Terms. If there is a conflict, the signed written agreement controls for the conflicting topic.

2. Services

CallOrbit provides cloud communications software and related telecom-enabled services, including business phone system features, hosted PBX and cloud PBX functions, virtual PBX workflows, call center software, browser phone and softphone access, call routing, IVR, voicemail, recordings, analytics, business SMS, WhatsApp workflows, SIP trunking support, virtual phone numbers, DID numbers, local phone numbers, toll free numbers, international calling, AI phone system features, telecom API access, programmable voice workflows, support tools, and administrative controls.

Some services depend on carriers, messaging networks, identity providers, payment processors, app marketplaces, internet access, customer equipment, customer configuration, and third-party platforms. Availability, number inventory, emergency calling support, messaging support, calling rates, geographic coverage, and feature eligibility may vary by country, carrier, number type, destination, and account status.

3. Eligibility And Accounts

  • You must be at least 18 years old and legally able to enter into this agreement.
  • You must provide accurate account, business, billing, contact, tax, number order, and compliance information.
  • You are responsible for all activity under your account, including activity by employees, agents, contractors, API users, and integrations.
  • You must keep credentials, API keys, webphone access, SIP credentials, OAuth grants, and administrator accounts secure.
  • You must notify CallOrbit promptly if you suspect unauthorized access, credential compromise, telecom abuse, or misuse of your workspace.

4. Customer Data And Content

You retain ownership of customer content and data submitted to the service. You grant CallOrbit the rights needed to host, process, transmit, route, store, copy, display, analyze, secure, and otherwise handle that content to provide the service, support the account, prevent abuse, and comply with law.

You are responsible for the legality, accuracy, quality, and rights to all data you submit or route through CallOrbit, including caller data, contacts, recordings, messages, imported lists, AI prompts, call scripts, campaign content, and integration data.

5. Telecom, Number, And Carrier Requirements

  • Numbers are subject to availability, regulatory eligibility, carrier approval, address requirements, identity verification, emergency service limitations, portability rules, payment status, and ongoing compliance checks.
  • CallOrbit may reject, delay, suspend, reclaim, or remove numbers where required by law, carrier policy, numbering plan rules, non-payment, failed verification, suspected abuse, or incorrect information.
  • You may not represent that a number is guaranteed, permanently assigned, portable in all circumstances, or available in every country unless CallOrbit confirms it in writing.
  • You must comply with all laws and carrier rules for caller ID, STIR/SHAKEN, number use, traffic origination, routing, dialer behavior, international calling, message registration, brand registration, campaign registration, and emergency calling disclosures.

6. Acceptable Use

You must comply with the Acceptable Use Policy, Telecom Abuse Policy, TCPA Compliance Language, Call Recording Consent Notice, Emergency Services Disclaimer, and all applicable telecom, privacy, consumer protection, anti-spam, marketing, recording, and data protection laws.

CallOrbit may monitor for abuse, investigate suspicious traffic, apply limits, throttle traffic, block destinations, require verification, suspend services, or terminate accounts to protect users, carriers, networks, recipients, and the platform.

7. AI Features

AI features may generate summaries, suggested replies, classifications, quality insights, sentiment signals, next actions, call notes, or other outputs. AI output can be incomplete, inaccurate, biased, outdated, or unsuitable for a specific situation.

You are responsible for reviewing AI output before relying on it, sending it to customers, making employment decisions, making regulated decisions, or using it in sensitive contexts. You must not use AI features to make decisions that require human review unless you have implemented the required safeguards and legal basis.

8. Fees, Billing, Taxes, And Payments

  • You agree to pay all fees, recurring charges, usage charges, number charges, add-on charges, telecom charges, taxes, payment processing costs, and other amounts associated with your plan and usage.
  • Usage-based fees may include voice minutes, international calling, SMS, WhatsApp, toll free usage, number provisioning, number rental, recording storage, AI usage, API usage, and carrier pass-through costs.
  • Prices, taxes, carrier fees, and regulatory surcharges may change. CallOrbit may update pricing with notice where required or where a carrier, tax, or regulatory change affects the cost of service.
  • Late payment, chargebacks, payment failures, fraud flags, or billing disputes may result in suspension, number release, feature limits, or termination after applicable notice.

9. Trials, Betas, And Pre-Release Features

Trials, demos, beta features, experimental integrations, pilot features, and pre-release capabilities are provided as-is, may change or end at any time, may have limited support, and may not be suitable for production use or regulated workloads.

10. Service Availability

CallOrbit works to provide reliable service, but no cloud, telecom, carrier, internet, browser, device, or third-party service is uninterrupted or error-free. Service may be affected by maintenance, outages, carrier routing, internet failures, browser permissions, device settings, power loss, third-party failures, regulatory action, abuse mitigation, or customer configuration.

11. Security

  • You must use reasonable security practices for your workspace, including strong passwords, limited administrator access, appropriate role assignments, and secure handling of API keys and exports.
  • You may not test, scan, attack, overload, bypass, reverse engineer, or interfere with CallOrbit systems without written authorization.
  • You must promptly report security concerns, exposed credentials, suspected fraud, or unauthorized access to security@callorbit.tech or support@callorbit.tech.

12. Suspension And Termination

CallOrbit may suspend or terminate access, block traffic, remove numbers, disable campaigns, restrict API use, or refuse service if we believe an account creates legal, security, telecom, billing, carrier, abuse, fraud, reputational, or operational risk.

You may stop using the service at any time. Termination does not relieve you of fees already incurred or obligations that by nature should continue, including payment, confidentiality, compliance, data protection, indemnity, limitations of liability, and dispute terms.

13. Disclaimers

Except where prohibited by law or a written agreement says otherwise, CallOrbit is provided on an as-is and as-available basis. CallOrbit does not guarantee that the service will be uninterrupted, error-free, secure, available in every country, compatible with every device or browser, accepted by every carrier, or suitable for every regulated use case.

14. Limitation Of Liability

To the maximum extent permitted by law, CallOrbit will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages, including loss of revenue, business interruption, lost data, lost recordings, lost messages, failed calls, call quality issues, number loss, carrier blocking, or reputational harm.

To the maximum extent permitted by law, CallOrbit's aggregate liability for claims arising out of or relating to the service is limited to the amounts paid by the customer to CallOrbit for the affected service during the three months before the event giving rise to the claim.

15. Indemnity

You will defend, indemnify, and hold CallOrbit harmless from claims, penalties, damages, costs, and expenses arising from your data, traffic, campaigns, recordings, messages, content, misuse of the service, violation of these Terms, violation of law, infringement of third-party rights, telecom abuse, or failure to obtain required consent.

16. Governing Law And Disputes

Unless a separate written agreement states otherwise, these Terms are governed by the laws of South Africa, without regard to conflict of law rules. Courts located in South Africa will have jurisdiction except where mandatory law gives a different forum or right that cannot be waived.

17. Changes

CallOrbit may update these Terms to reflect service changes, legal changes, carrier requirements, risk controls, or business needs. Material updates will be posted with a new effective date. Continued use of the service after the effective date means you accept the updated Terms.
